These conditions apply to the purchase of antennas, high-frequency components and accessories from our online shop as well as to separately commissioned development, optimization, measurement and manufacturing services.
1. Contracting party and scope
The contracting party is Sevskiy GmbH, Schatzbogen 43, 81829 Munich, Germany, represented by its Managing Director Dr.-Ing. Sergey Sevskiy, registered with the Munich Local Court under HRB 208657.
Our offering is exclusively for businesses within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. We do not accept orders from consumers. During checkout, the customer confirms that the order is placed for business purposes.
The version of these Terms and Conditions incorporated at the time of contract formation applies. Individually agreed quotations, specifications, development contracts and confidentiality agreements take precedence. Conflicting purchasing terms apply only to the extent that we have agreed to their application.
2. Products and scope of services
Our product range includes, in particular, antennas, RF filters, low-noise amplifiers (LNA), assembled RF cables, RF connectors and test and measurement equipment. We offer standard products, custom modifications, entirely new developments and optimization of existing products.
The separately agreed scope of services may include antenna integration, RF circuit and filter development, electromagnetic simulation, RF layout optimization including PCB transitions, measurements, prototype construction and series production.
The agreed version, its associated technical documents and expressly agreed characteristics are authoritative. Product images are illustrative; the connector, cable length, dimensions and frequency range must be checked against the information for the respective item. Guarantees require an express guarantee declaration.
3. Orders and contract formation
The presentation of products in the online shop is an invitation to place an order. The customer selects items and quantities, enters billing and delivery details and checks the items, prices, shipping costs, tax and payment method in the final review step. Before submission, entries can be corrected using the editing functions provided.
By clicking the final order button, the customer makes a binding offer to enter into a contract. An automatic acknowledgement initially records receipt of the order. We accept the order by express order confirmation, a request for payment or dispatch of the goods. If the acknowledgement already contains a specific request for payment, it also constitutes acceptance.
A technical inquiry or an inquiry about items without an online price does not yet constitute an order. Where appropriate, we provide a separate quotation. Changes or additions to an existing order require agreement.
The contract language is German unless otherwise individually agreed. Translations of these Terms and Conditions are provided for information; in the event of discrepancies, the German version prevails unless otherwise individually agreed. Order information is transmitted electronically. A customer account may provide the order status; the customer should also save the order documents and these Terms and Conditions independently.
4. Prices, VAT and shipping costs
Shop prices are net prices in euros unless otherwise stated for the item. Quantity pricing applies to the item quantity specified in each case. Shipping costs and applicable VAT are shown separately during checkout. Individually agreed prices and billing arrangements apply to development services, custom products and series production orders.
German VAT is generally charged on deliveries within Germany. A delivery to another EU Member State may qualify as a VAT-exempt intra-Community supply if, in particular, a valid foreign EU VAT ID is used and the statutory requirements are fulfilled and evidenced. Entering a number alone is insufficient. We verify the VAT ID; the customer must provide correct company and delivery details and cooperate in providing the required evidence.
For export deliveries, tax treatment depends on the statutory requirements. Import duties and taxes in the destination country are not included in the shop price unless otherwise agreed. Any necessary price correction before contract formation will be agreed with the customer.
5. Payment
The payment methods offered in the specific checkout process are available. For prepayment, payment is made following a request for payment; dispatch begins after payment has been received. For payment on invoice, the payment term stated on the invoice or in the order confirmation and any agreed conditions apply.
Online payments are processed by the payment service provider named during checkout. With Stripe, payment details are entered on the provider's payment page. Returning from the payment page alone does not constitute payment confirmation; the confirmed payment status is decisive.
The statutory rules on payment becoming due apply to services without a separate payment agreement. Statutory rights in the event of late payment remain unaffected.
6. Delivery time and shipping
The delivery time displayed in the shop refers to the quantity entered and the stock available when the page is accessed. Working days are Monday to Friday, excluding public holidays at the company's registered office. The period begins after contract formation, any required technical clarification and, for prepayment, receipt of payment; any different agreement takes precedence.
For combined shipping, the delivery time for the entire order is determined by the longest delivery time of the included items. Partial deliveries are subject to agreement. An expressly promised date takes precedence over a general shop display. We inform the customer of foreseeable delays.
Goods are shipped to the agreed delivery address. In sales involving shipment to business customers, the transfer of risk is governed by the statutory provisions. The customer's statutory rights in the event of delays remain unaffected.
7. Custom products and changes
For modified products, in particular, frequency ranges, electrical characteristics, connector, cable type and length, mechanical interfaces, quantity and testing requirements are defined before production starts. Any agreed approval of samples or drawings forms the basis for production.
Changes after order placement are assessed for technical feasibility, additional costs and effects on timing. They are implemented only after agreement. Cancellation of ongoing manufacturing or development orders requires coordination; mandatory statutory rights of termination and withdrawal remain unaffected.
8. Development, optimization and measurements
For development orders, the task, target values, boundary conditions, work packages, deliverables and remuneration are defined in the quotation or project contract. Where work subject to an agreed result is commissioned, we owe the defined result. For agreed consulting or investigation services, the activity owed is determined by the order; this does not constitute a promise of any further development result.
Simulations and measurements relate to documented models, test specimens, operating states and measurement conditions. Statements about efficiency, impedance matching, gain, noise figure, insertion loss or immunity apply within these boundary conditions. Test reports, certifications, approvals and undertaking series production are owed only to the extent commissioned.
9. Cooperation and technical integration
The customer provides required specifications, enclosure and PCB data, samples, interface information and contact persons in good time. The customer ensures that the documents and samples supplied may be used. The parties clarify apparent inconsistencies or missing information before continuing the affected work step.
The suitability of an RF component depends on installation, grounding, environment, impedance matching, transitions and operating conditions. Responsibility for integration and the regulatory requirements of the complete system is determined by the agreed allocation of tasks. Our responsibility for expressly commissioned integration and testing services remains unaffected. Safety-critical operating conditions must be disclosed before order placement.
10. Acceptance of work subject to an agreed result
Where work subject to an agreed result has been commissioned, acceptance is based on the agreed deliverables and criteria. We notify the customer of completion and enable inspection. Material deviations must be identified specifically; acceptance may not be refused for minor defects. In all other respects, the statutory acceptance provisions apply. Pure services do not require acceptance under the rules governing contracts for work.
11. Documents and rights of use
The scope and handover of circuit diagrams, layout data, simulation models, source code, manufacturing data and measurement reports are determined by the order. Purchasing a component does not automatically include the delivery of its development or manufacturing documents.
Rights to use protected work results are governed by the project contract. Without a further agreement, their scope is determined by the discernible purpose of the contract. Existing tools, methods, libraries and general know-how remain with their respective rights holders; the customer's rights to its own documents remain intact. Any exclusive transfer of rights or authority to pass them on to third parties requires a separate agreement.
12. Defects and complaints
Statutory rights and limitation periods apply to defects. When submitting a complaint, please provide the item and order numbers, a description of the fault, operating conditions and, if possible, measurement data so that we can investigate the cause. Contacting us beforehand facilitates processing but is not a condition for statutory rights relating to defects.
For a commercial sale between merchants, the statutory inspection and notification obligations under Section 377 of the German Commercial Code (HGB) apply. Improper handling, impermissible operating conditions or unauthorized modifications do not give rise to a claim for a fault for which we are not responsible; the statutory rules on the burden of presentation and proof remain applicable.
13. Liability
We are liable without limitation for intent and gross negligence and for damage arising from injury to life, body or health. Mandatory statutory liability, in particular under the German Product Liability Act, claims for fraudulent concealment and claims under an assumed guarantee remain unaffected.
For a slightly negligent breach of material contractual obligations, liability is limited to foreseeable damage typical of the contract. Material contractual obligations are those whose fulfillment enables proper performance of the contract and on whose compliance the customer may regularly rely. In all other cases, liability for damage caused by slight negligence is excluded. The above provisions also apply to our legal representatives and persons employed to perform our obligations.
14. Retention of title and returns
Delivered goods remain our property until the corresponding purchase price has been paid in full. Statutory rights remain unaffected.
Business orders do not carry a statutory consumer right of withdrawal. Voluntary acceptance of returns of goods free from defects requires agreement, particularly for custom-manufactured or modified products. Rights relating to defects and other statutory rights to end the contract are not restricted by this provision.
15. Confidentiality and data protection
Confidential technical or commercial information is used solely for performance of the contract and disclosed only to the extent necessary for that purpose or required by law. Separate confidentiality agreements take precedence. Information that is publicly known or demonstrably developed independently is excluded.
Personal data is processed in accordance with our Privacy Policy. This may include customer accounts, order processing, payment service providers and the verification of foreign EU VAT identification numbers through VIES.
16. Governing law, jurisdiction and contact
German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. Where a jurisdiction agreement is legally permissible, in particular with merchants, legal entities under public law and special funds under public law, Munich is the place of jurisdiction. Mandatory jurisdictions remain unaffected.
If a provision is invalid, the statutory provisions apply in its place; the remaining provisions remain effective in accordance with the law.
